Terms of Service - Commercial Refrigeration Equipment Supplier

01. General Provisions

Welcome to KOLVVI. These Terms of Service ("Terms") govern the manufacturing services, product sales, and business relationship between KOLVVI ("Manufacturer", "We", "Us") and the purchasing entity ("Buyer", "Client").

By placing an order, requesting a quotation, or engaging in OEM/ODM development with KOLVVI, you agree to be bound by these Terms.

02. B2B & Wholesale Only

Notice of Trade Nature

KOLVVI is strictly a B2B (Business-to-Business) manufacturer. We do not engage in retail sales to individual consumers.

By entering into an agreement with us, the Buyer warrants that:

They are a registered business entity, wholesaler, distributor, or brand owner.
Products purchased are for resale, commercial use, or integration into other products.
They possess the necessary licenses to import and distribute refrigeration equipment in their jurisdiction.

03. OEM/ODM & Production

Customization

For OEM (Original Equipment Manufacturer) and ODM (Original Design Manufacturer) projects, final technical drawings and specifications must be approved in writing by the Buyer before tooling or mass production begins.

Minimum Order Quantity (MOQ)

Production is subject to MOQs as defined in the specific quotation. We reserve the right to decline orders that do not meet efficiency standards for factory production.

04. Payment Terms

Unless otherwise agreed in a specific Sales Contract:

Deposit: A non-refundable deposit (typically 30%) is required to initiate production, purchase raw materials, or open molds.
Balance: The remaining balance (70%) must be paid in full prior to shipment release or container loading.
Currency: All payments shall be made in USD or CNY via Telegraphic Transfer (T/T) to our designated corporate bank account in China.

05. Shipping & Incoterms

Standard delivery terms are FOB (Free on Board) or EXW (Ex-Works).

Risk of loss or damage to goods passes to the Buyer once the goods pass the ship's rail at the port of shipment (FOB) or are made available at our factory (EXW). The Buyer is responsible for all import duties, taxes, and customs clearance in the destination country.

06. International Warranty

Spare Parts Policy

As an international manufacturer, we provide a Spare Parts Warranty. We provide a percentage of free spare parts (e.g., 1% of critical components) with the container order for after-sales maintenance.

We do not provide on-site labor or repair services in overseas territories. Defective components proven to be manufacturing faults within the warranty period (typically 12 months from Bill of Lading date) will be replaced by supplying new parts in the next shipment or via courier, subject to mutual agreement.

07. Limitation of Liability

To the maximum extent permitted by law, KOLVVI shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business interruption, arising out of the use or inability to use our products.
